IN NO EVENT SHALL DEWEY'S PIZZA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DEWEY'S PIZZA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.
9. Indemnification
You agree to defend, indemnify, and hold harmless Dewey's Pizza and its officers, directors, employees, agents, affiliates, licensors, and service providers (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

11. Dispute Resolution
11.1 Informal Resolution

We will attempt in good faith to resolve the Dispute within thirty (30) days of receiving your notice. 11.2 Binding Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS AND LIMITS YOUR ABILITY TO RESOLVE DISPUTES WITH US IN COURT.
Except for claims that qualify for small claims court or claims seeking emergency injunctive relief to prevent irreparable harm, you and Dewey's Pizza agree that any Dispute shall be resolved exclusively through final, binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA) then in effect. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding on both parties.
The arbitration shall take place in the United States, in a location mutually agreed upon by the parties. Each party shall bear its own costs in connection with arbitration, except that the arbitrator may award fees and costs to the prevailing party in accordance with applicable law.
11.3 Class Action Waiver
YOU AND DEWEY'S PIZZA AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Unless both you and Dewey's Pizza agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class or representative proceeding.
11.4 Exceptions to Arbitration
Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights or confidential information.
12. Term and Termination
12.1 Term
These Terms are effective as of the date they are first accepted by you and shall remain in full force and effect for as long as you continue to access or use our Website or Services, unless terminated earlier in accordance with these Terms.
12.2 Termination by You

The parties agree that the court or arbitrator should endeavor to give effect to the parties' intentions as reflected in the provision declared invalid, illegal, or unenforceable, and the other provisions of these Terms shall continue to be valid and enforceable to the fullest extent permitted by law.
19. Waiver
No failure or delay by Dewey's Pizza in exercising any right, power, or remedy under these Terms shall operate as a waiver of such right, power, or remedy. No single or partial exercise of any right, power, or remedy under these Terms shall preclude any other or further exercise of such right or the exercise of any other right, power, or remedy.
20. Assignment
You may not assign or transfer these Terms, or any of your rights or obligations hereunder, whether by operation of law or otherwise, without the prior written consent of Dewey's Pizza. Dewey's Pizza may freely assign or transfer these Terms or any of its rights or obligations hereunder at any time without restriction. Any purported assignment in violation of this section shall be null and void. These Terms shall be binding upon and inure to the benefit of the parties and their respective permitted successors and assigns.
